AMAI System, Inc. — Terms of Service
Effective Date: October 3, 2026
These Terms of Service govern access to and use of AMAI’s business and professional software service, including its AI-assisted content creation, brand, scheduling, publishing, integration, and connected-service features.
1. Agreement and Business Use
These Terms of Service (“Terms”) are a binding agreement between you and AMAI System, Inc., a Delaware corporation (“AMAI,” “we,” “us,” or “our”). By creating an account, starting a subscription, purchasing credits or other paid functionality, or otherwise using the Service, you agree to these Terms.
If you use the Service on behalf of a company, agency, organization, or other legal entity, you represent that you have authority to bind that entity, and references to “you” include that entity.
AMAI is intended primarily for business, commercial, and professional use. You must be at least 18 years old and legally capable of entering into this agreement.
2. The Service
AMAI provides software for creating, editing, organizing, scheduling, and publishing digital content. Depending on the features available to your account, the Service may include brand workspaces, uploaded documents and images, AI-assisted text, image and video creation, carousels, campaign tools, calendars, scheduling, publishing, reference-image functionality, background-image functionality, stock media, feedback tools, and supported integrations.
Features, supported formats, plans, credit costs, models, integrations, and third-party services may change over time. AMAI may add, modify, replace, or discontinue features where reasonably necessary for product development, security, legal compliance, third-party platform changes, or service reliability.
3. Accounts and Access
You are responsible for providing accurate account information, protecting access credentials, controlling access by your authorized users, and activity conducted through your account.
AMAI may offer authentication through third-party identity or social sign-in providers. If you choose such a method, your use of the third-party service is also subject to that provider’s terms and privacy practices.
4. Plans, Billing, and Automatic Renewal
AMAI may offer free and paid plans. The features, usage limits, monthly credit allowance, and price applicable to your plan are those displayed in the Service, at checkout, or in an applicable written order or commercial agreement at the time of purchase.
Paid subscriptions are billed monthly and automatically renew each month until cancelled. By starting a paid subscription, you authorize AMAI and its payment-processing providers to charge the applicable subscription fees and taxes to your selected payment method on each renewal date.
You may cancel before a future renewal to stop future recurring charges. Except where required by mandatory applicable law or expressly agreed by AMAI in writing, amounts already paid are non-refundable.
5. Credits
Certain AMAI features use credits. Credit consumption may vary according to the content type, model, duration, computational requirements, or feature used.
Monthly credits included in a subscription expire at the end of the applicable billing cycle and do not roll over unless AMAI expressly states otherwise. Credits have no cash value, are not redeemable for cash, and may not be transferred between unrelated accounts.
AMAI may change future credit allocations, credit costs, or plan structures prospectively as the Service evolves.
6. Customer Content
“Customer Content” means prompts, instructions, text, logos, brand information, documents, images, video, audio, social-media material, reference material, and other content that you upload, import, connect, or provide to AMAI.
As between you and AMAI, you retain your rights in Customer Content. You grant AMAI a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, transform, display, and otherwise use Customer Content only as reasonably necessary to provide, secure, support, and operate the Service and to perform actions you request.
You represent that you have all rights, permissions, licenses, and lawful bases necessary to provide Customer Content to AMAI and to authorize its processing through the Service.
7. Uploaded Images and Background Image Functionality
AMAI may allow you to upload images for use as product images, references, brand assets, or backgrounds. Uploaded images remain Customer Content.
Where you select background-image functionality, AMAI is designed to use the image you provide as the source background or visual reference for the requested content rather than substitute an unrelated source image. Technical transformations such as resizing, cropping, compression, format conversion, layout changes, or the addition of text, logos, and other design elements may still occur as part of creating the requested output.
You are responsible for ensuring that you have permission to use any photograph, image, logo, likeness, trademark, product image, or other protected material that you upload.
8. Stock Media
AMAI may provide access to third-party stock photographs or other stock media (“Stock Media”) within the Service.
Stock Media is made available under rights or licenses provided by third-party licensors. AMAI does not transfer ownership of the underlying Stock Media to you. Your use of Stock Media is subject to applicable third-party license terms and restrictions.
Unless the applicable license permits otherwise, you may not extract, resell, redistribute, sublicense, or make Stock Media available as a standalone asset independent from content created through the Service.
9. AI-Generated and AI-Assisted Output
“Output” means text, images, video, audio, layouts, recommendations, or other content generated or materially transformed through the Service using artificial intelligence or automated tools.
As between you and AMAI, AMAI does not claim ownership of Customer Content. To the extent AMAI owns transferable rights in Output generated specifically for you, AMAI grants or assigns those rights to you to the maximum extent permitted by applicable law, subject to these Terms, third-party rights, Stock Media licenses, and applicable third-party model restrictions.
Generative AI is probabilistic. Output may be inaccurate, incomplete, non-unique, or similar to content produced for others. AMAI does not guarantee that Output is eligible for copyright or other intellectual-property protection, or that every Output is free of third-party claims.
You are responsible for reviewing Output before external use or publication, including factual accuracy, brand suitability, advertising claims, intellectual-property issues, and disclosures required by applicable law or platform rules.
10. AI Transparency and Provenance
AMAI may include, preserve, transmit, or display technical or human-readable information intended to indicate that content was generated or manipulated using artificial intelligence, including metadata, provenance information, content credentials, watermarks, labels, or similar signals, where available or required by applicable law.
You must not intentionally remove, falsify, or circumvent transparency or provenance signals where doing so would violate applicable law or third-party platform rules.
You remain responsible for disclosures that depend on how and where you publish or distribute content, including disclosure obligations relating to deepfakes, synthetic media, impersonation, public-interest content, advertising, or other regulated communications.
11. Third-Party AI and Technology Providers
AMAI relies on third-party technology to provide portions of the Service, including AI models and inference services, cloud infrastructure, authentication, payment processing, communications, monitoring, and other technical functions.
Customer Content and generation instructions may be transmitted to relevant third-party providers where necessary to perform the action you request. Third-party services may have their own technical limitations, availability constraints, licenses, and data-processing terms.
AMAI may change or replace third-party providers where reasonably necessary to improve quality, availability, safety, compliance, or cost efficiency.
12. Connected Platforms and Social Services
AMAI may allow you to connect supported third-party platforms and accounts. When you connect a service, you authorize AMAI to use the permissions you grant to perform actions you request, which may include importing content, accessing authorized account information, scheduling, or publishing.
Connected platforms remain governed by their own terms, privacy policies, API rules, and content policies. AMAI is not responsible for third-party outages, API changes, account restrictions, content moderation decisions, or other actions outside AMAI’s control.
You may revoke a supported integration through AMAI or the relevant third-party service where available.
13. Third-Party AI Assistants and Agents
AMAI may allow users to access or use certain AMAI functionality through supported third-party AI assistants, agents, interfaces, or connected services.
When you choose to use such an integration, your instructions, authorized account information, Customer Content, and AMAI results may be transmitted between AMAI and the relevant third-party service as necessary to perform the requested action. The third-party provider’s own terms and privacy practices also apply to its processing.
14. Communications and Email Preferences
AMAI may send service-related or transactional communications that are necessary or useful to operate your account or the Service, including account and security notices, billing information, scheduled-publication reminders, credit-status notices, and messages relating to actions you have requested.
AMAI may also send product updates, newsletters, offers, re-engagement messages, or other marketing communications where permitted by applicable law. Marketing messages will provide a way to unsubscribe or opt out of future marketing emails. Opting out of marketing does not prevent AMAI from sending necessary service or transactional communications.
AMAI may retain limited information necessary to record and honor an email marketing opt-out.
15. Acceptable Use
You may not use the Service to violate applicable law; infringe intellectual-property, privacy, publicity, confidentiality, or other rights; facilitate fraud, phishing, malware, or other malicious activity; exploit minors; distribute unlawful non-consensual intimate imagery; unlawfully impersonate another person; evade sanctions or export controls; interfere with the Service; bypass technical or safety restrictions; or intentionally remove legally required transparency or provenance measures.
You may not use AMAI to make or materially determine automated decisions about an individual’s legal rights or access to employment, credit, insurance, healthcare, education, essential public services, law enforcement outcomes, or other high-impact regulated decisions unless AMAI expressly supports that use under a separate written agreement.
16. Intellectual Property in the Service
AMAI and its licensors retain all rights in the Service itself, including software, source code, workflows, interfaces, designs, documentation, trademarks, proprietary templates, and technology, excluding Customer Content and rights granted in Output under these Terms.
These Terms do not grant you ownership of AMAI software or technology.
17. Privacy and Data Protection
AMAI processes personal information in accordance with its Privacy Policy and applicable data-protection law.
Where AMAI processes personal data solely on behalf of a business customer, the customer remains responsible for the lawfulness of the data it provides and the instructions it gives to AMAI. AMAI will process such data as necessary to provide the Service and in accordance with applicable data-protection obligations.
18. Security
AMAI uses reasonable technical and organizational measures designed to protect the Service and information processed through it. No internet-connected service can guarantee absolute security.
You are responsible for appropriate account-security practices and for maintaining independent copies of important business content where appropriate.
19. Suspension and Termination
AMAI may suspend or restrict access where reasonably necessary to address a security risk, non-payment, suspected fraud or abuse, a material violation of these Terms, a legal requirement, or a risk to AMAI, its users, or third parties.
Where reasonably practicable, AMAI may provide notice and an opportunity to cure a remediable breach. Immediate action may be taken where necessary for security, legal compliance, or prevention of harm.
You may stop using the Service at any time. Cancellation of a paid plan stops future renewal charges in accordance with Section 4.
20. Service Availability
AMAI aims to provide a reliable Service but does not guarantee uninterrupted, error-free, or permanent availability of any feature, integration, model, or third-party service. Maintenance, provider outages, API changes, security events, or other circumstances may affect availability.
21. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AMAI DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
AMAI DOES NOT WARRANT THAT OUTPUT WILL ALWAYS BE ACCURATE, UNIQUE, ERROR-FREE, LEGALLY PROTECTABLE, OR SUITABLE FOR A PARTICULAR COMMERCIAL, LEGAL, ADVERTISING, OR REGULATORY PURPOSE.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATING TO THE SERVICE.
EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, AMAI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO AMAI DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU USE ONLY A FREE PLAN, AMAI’S AGGREGATE LIABILITY WILL NOT EXCEED USD 100.
Nothing in these Terms excludes or limits liability to the extent that applicable law does not permit such exclusion or limitation.
23. Indemnification
To the extent permitted by law, you will defend and indemnify AMAI System, Inc. and its directors, officers, employees, and agents against third-party claims, liabilities, damages, and reasonable costs arising from Customer Content, your instructions, your publication or use of Output, your violation of these Terms or applicable law, or infringement of third-party rights caused by material you provide or your use of the Service.
24. Export Controls and Sanctions
You may not use the Service in violation of applicable export-control, trade-sanctions, or embargo laws. AMAI may restrict access where reasonably necessary to comply with such laws.
25. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and each party consents to personal jurisdiction there.
This section does not override mandatory laws or jurisdictional rights that cannot lawfully be waived.
26. Changes to These Terms
AMAI may update these Terms to reflect changes to the Service, pricing structure, technology, applicable law, regulatory requirements, or business operations. Where required by law, AMAI will provide notice of material changes before they take effect. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
27. General
These Terms, the Privacy Policy, the Data Deletion Policy, and any applicable order form or separately executed written agreement constitute the agreement governing your use of the Service. If a separately executed agreement conflicts with these Terms, the separately executed agreement controls to the extent of the conflict.
If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. AMAI may assign these Terms in connection with a financing, merger, reorganization, acquisition, or sale of all or substantially all relevant assets.
